1. Agreement to Terms

By accessing or using the services provided by JavaScript Instruments ("we," "us," or "our"), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use our services.

2. Services

JavaScript Instruments provides product development, rebuild, rearchitecture, and design services for startups and technology companies. Our services include but are not limited to:

• Product audits and assessments
• Software development and rebuilds
• Architecture design and implementation
• UI/UX design and redesign
• Technical consulting and advisory services

3. Service Engagement

All service engagements are subject to a separate written agreement that will outline the specific scope of work, deliverables, timeline, and compensation. These Terms and Conditions supplement but do not replace any such written agreement.

4. Intellectual Property

Client-Owned Work: Upon full payment, all custom code, designs, and deliverables created specifically for your project will be transferred to you, unless otherwise specified in a written agreement.

Pre-Existing Materials: We retain ownership of all pre-existing tools, frameworks, libraries, and methodologies used in delivering our services. These may be reused across multiple client projects.

Portfolio Rights: We reserve the right to use project work in our portfolio, case studies, and marketing materials unless a non-disclosure agreement specifies otherwise.

5. Confidentiality

We respect the confidential nature of your business information. Any proprietary information shared with us during the course of our engagement will be kept confidential and will not be disclosed to third parties without your consent, except as required by law.

6. Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• Payment is required according to the schedule outlined in the project agreement
• Late payments may result in work suspension until payment is received
• All fees are non-refundable unless otherwise specified in writing
• You are responsible for any taxes, duties, or fees associated with the services

7. Project Changes and Scope Creep

Any changes to the agreed-upon scope of work must be documented in writing and may result in additional fees and timeline adjustments. We will notify you of any impacts to budget or schedule before proceeding with out-of-scope work.

8. Client Responsibilities

To ensure successful project delivery, you agree to:

• Provide timely access to necessary materials, systems, and stakeholders
• Respond to requests for feedback and approvals within agreed timeframes
• Ensure that all materials provided to us do not infringe on third-party rights
• Maintain appropriate backups of your systems and data

9. Warranties and Disclaimers

We warrant that our services will be performed in a professional and workmanlike manner. However, we provide our services "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We do not guarantee specific business outcomes, user adoption rates, or performance metrics unless explicitly stated in a written agreement.

10. Limitation of Liability

To the maximum extent permitted by law, JavaScript Instruments shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, goodwill, or other intangible losses resulting from:

• Your use or inability to use our services
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any bugs, viruses, or other harmful code that may be transmitted to or through our services
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content

Our total liability to you for all claims arising from or related to our services shall not exceed the amount paid by you to us in the twelve (12) months preceding the claim.

11. Termination

Either party may terminate a service engagement according to the terms specified in the project agreement. Upon termination:

• You will pay for all work completed up to the termination date
• We will deliver all completed work products upon receipt of final payment
• Any outstanding balances become immediately due and payable

12. Indemnification

You agree to indemnify and hold harmless JavaScript Instruments, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

• Your use of our services
• Your violation of these Terms and Conditions
• Your violation of any rights of a third party
• Materials or information you provide that infringe third-party rights

13. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, war, terrorism, pandemics, labor disputes, or failures of third-party services.

14. Governing Law and Dispute Resolution

These Terms and Conditions shall be governed by and construed in accordance with the laws of the jurisdiction in which JavaScript Instruments operates, without regard to its conflict of law provisions.

Any disputes arising from these terms or our services shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

15. Modifications to Terms

We reserve the right to modify these Terms and Conditions at any time. We will notify you of any material changes by posting the updated terms on our website and updating the "Last Updated" date. Your continued use of our services after such modifications constitutes acceptance of the updated terms.

16. Severability

If any provision of these Terms and Conditions is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these terms shall otherwise remain in full force and effect.

17. Entire Agreement

These Terms and Conditions, together with any project-specific agreements, constitute the entire agreement between you and JavaScript Instruments regarding our services and supersede all prior agreements and understandings, whether written or oral.
